A friend owes me $45,000 in the state of Tennessee (Davidson county). We are exchanging it for 3 years of deducted salary/sweat equity in a company. What all do I need in a contract and do we just need to go to a bank to notarize to make it legally binding? Should the contract include details like the payment plan, interest, timeframe to pay back, penalty for late payments, and the value of the sweat equity?

Can I be countersued for harassment if I haven't broken any laws, there are no police reports, and they have no damages? If the defendant in my small claims case threatens to move it to county court and bring in neighbors who claim I harassed them but have no evidence beyond biased affidavits, should I be concerned? If they do move the case and bring new plaintiffs, can I counter sue each one and maintain my current claim against the defendant? Would I remain the plaintiff or become the defendant if they countersue me? Do I get to answer all of their counter claims?
