In an HOA governed by Florida Statute 720.303, where bylaws state that a director may not abstain from a vote except for an asserted conflict of interest, what happens if a director abstains without declaring a conflict of interest? Can the vote be declared null and void and have to be re-done, and can the director be removed for cause by the board or sued by the owners?
