I took on a business partner and gave them 50%. We have a shotgun provision in place. I recently discovered through our company email that he is complaining about me to the lawyer who did our partnership agreement. It seems they have a cozier relationship than I initially thought. They told me that the lawyer was the other person's professor at NYU. I discovered in the emails that my partner is very disgruntled because he thinks I tell him what to do. The truth is he does not do much so I have to ask him to do things. I am polite, even keeled, and pleasant. He has told people that I am a maniac, a screaming banshee, totally insane, etc...all furthest from the truth. The worry I have is that I spent 2 years building the company and then took him on as a partner. He has turned out to be mean-spirited and lazy. He has a lot of personal money and I do not have any, which he knows. 4 questions come to mind: 1) is it legal for me to look at his company email...we are both 'our name'@the name of the company.com.' 2) is it OK that it turns out that he has a personal friendship with the lawyer that did our initial partnership agreement? 3) Can he get in trouble if I have emails proving that he is tarnishing my reputation? and conspiring against me with contacts he wants to join the company? 4) is there ever a way out of the shotgun agreement since I cannot afford to purchase the company from him, even if he gives me a low price?
