My company merged with a larger company in 2019, and I had stock in my original company. E*Trade's 1099-B indicated a $60,000 gain, which the IRS later reduced to $40,000. I did not sell any stock; it was a simple merger. How can there be a taxable event when I did nothing, and my company was just bought out by a larger company?

If I made over $250k in capital gains from selling my primary residence and plan to purchase a new primary residence, do I still have to pay capital gains tax? Additionally, if I gift $15k to each of my two children for their primary residence, do I have to pay additional tax on that gift?
