My LLC was supposed to be taxed as an S-Corp in 2021, but it was filed as an S-corp in 2022. The return was accepted and the due tax was paid. The IRS sent a letter stating that the S-corp wasn't effective until 1/22 because it wasn't filed on time for 2021. What will happen now? Will the IRS send me a letter stating that I need to amend my return?

An S Corp owes the IRS $319K, with $95K expiring on 11.6.22 and $65K on 2.5.23. The taxpayer is considering an Offer in Compromise (OIC). Given the close CSED dates, should the taxpayer wait to submit the OIC, and can the taxpayer rely on the CSED dates provided by a revenue officer in an informal report?
