I was taking care of my 83-year-old mom, who lives alone in a small apartment next to my rental property. One day, she gave my half-brother access to her finances, and he used her money to buy a house, claiming she would live with him. I bought a vitamin store in Kissimmee, Florida in January 2010 through my corporation, 'Far Horizon.' The sellers and broker presented the store as wildly profitable, but it was actually losing money due to their fraudulent practices. I gathered evidence and sued them, but my attorney resigned a month before the trial. The defense attorney got the judge to dismiss my corporation as a plaintiff with prejudice, and now seeks partial judgment on three counts. The argument is that I, as an individual, was not a party to the Closing Agreement, Covenant Not To Compete, and Bill of Sale Agreement. I have two days to amend my complaint. How can I rewrite the three counts to reflect that I was the sole funder and decision-maker for the corporation?
