My brother and I inherited a mortgage from our late father's home in 2010. We hired an attorney for probate, but they only took our money without resolving the issue. My self-directed IRA owns a 1/6 interest in vacant commercial real estate alongside 5 other unrelated investors. One investor proposed using their LLC to collect money from all investors and manage the property, including hiring my C-Corp (owned by me and my wife) as an independent contractor for on-the-ground management. My C-Corp would only receive management fees from the other 5 investors, not from my IRA. Does this avoid a Prohibited Transaction? If not, could a structure where a new management entity is created, 49% owned by my C-Corp and 51% by the other investors, be a cleaner way to avoid a Prohibited Transaction? Alternatively, could I self-manage my IRA's share of the property without charging management fees and have my management company contract with the other 5 investors only?
