Does a Non-Disclosure Agreement (NDA) prevent another person from taking my idea and discussing it with third parties as if it were their own? What actions can be taken if this happens, and who can initiate these actions? Additionally, if a partner company has not changed passwords after terminating an employee who had access to confidential information, are they liable for any disclosures? Can the partner company or ourselves issue a cease and desist to the terminated person, and what is needed to proceed? Finally, if a partner company wants to use our content and may approach our other key partners to broker their own deals, is there a legal document that can prevent this besides the NDA, and how can we reinforce this point during a meeting?
